The Sarbanes-Oxley Act (2002) has become the most known legislative act in the last years that concerns the public companies. It protects investors by improving the accuracy and reliability of corporate disclosures made pursuant to the securities laws. One of the most significant provisions within Sarbanes-Oxley are the criminal and civil penalties that places full responsibility on executive management and the board of directors.
